CONDITIONS OF SALE
- Any variation of these conditions in any document of the buyer is inapplicable unless specifically accepted in writing by Kazida Global.
- All quotations are subject to confirmation by Kazida Global on receipt of an order, and machines from stock are offered subject to availability at the time the order is received.
- All orders are accepted only:
- (a) upon the terms and conditions set out herein.
- (b) accompanied by sufficient information to enable us to proceed with the order without delay.
- (c) with a minimum order value as specified in the quote or contract.
- Kazida Global reserves the right to refuse any order.
- The quoted price for the goods may be subject to increase by Kazida Global in line with market conditions at the date of actual supply. The buyer shall pay such increase in the quoted price, including but not limited to changes in the costs of labor, materials, operation, transport, or fluctuations in exchange rates on imported equipment.
- All quotations are strictly net cash against invoices unless otherwise stated. For export contracts, full payment is required upon presentation of invoices and notification that the goods are ready for dispatch. Approved account customers must pay within 30 days. Kazida Global reserves the right to claim interest and compensation for debt recovery costs under applicable late payment legislation if payments are not made according to the agreed credit terms.
- Any delivery date provided is an estimate only, and Kazida Global accepts no liability for consequences arising from any delay.
- Unless otherwise instructed in the order, Kazida Global will arrange transport of the goods to the destination specified. Goods are quoted ex-works, with charges for packing, carriage, and insurance added to the invoice. Claims for loss, damage, or short delivery must be made in writing within 3 days of receipt (of goods or invoice), or they will not be accepted.
- If forwarding instructions are not received within 14 days of notification that goods are ready for dispatch, a reasonable charge for storage, including insurance, will be applied and is payable by the buyer.
- All specifications, drawings, and descriptions in quotations are approximate, intended to present a general idea of the goods. They do not form part of the contract or constitute a guarantee of any specific features unless explicitly agreed upon in writing.
- (a) Alteration of the goods before or after delivery will only be undertaken by Kazida Global under mutually agreed terms, including all costs.
- (b) Order cancellations are only accepted by Kazida Global with written agreement. Acceptance of cancellation is at Kazida Global's discretion and may include a minimum cancellation fee of 10% of the order value.
- The buyer is responsible for ensuring compliance with all statutory, government, or local regulations related to the purchased goods. The buyer must ensure that all instructions, manuals, and safety notices provided by Kazida Global are understood and followed by all personnel operating or in proximity to the equipment. Machines must be equipped with adequate guarding (available at additional cost) unless the buyer accepts full responsibility for guarding as required by law.
- Warranty and Service
- (a) For new machines, Kazida Global provides necessary operation manuals and documentation. Warranty terms are available, but specifics will depend on the order and the contract signed between Kazida Global and the buyer.
- (b) Used machine tools are generally sold without a warranty. However, Kazida Global ensures that each machine operates at full power and meets standard functionality at the time of dispatch.
- (c) Kazida Global may offer professional repair and commissioning services if required, but additional service fees will apply based on the buyer's country and the terms of the sales contract. The buyer is responsible for covering the travel expenses of the service team.
- No condition or warranty is made or implied regarding the lifespan or wear of the goods, or suitability for specific purposes, unless specifically guaranteed by Kazida Global in writing.
- (a) Except as expressly provided in these conditions, Kazida Global accepts no liability for any loss, injury, or expense arising from defects in the goods. Kazida Global will not be liable for any consequential damages, including loss of profits or third-party liabilities, due to such defects.
- (b) The buyer agrees to indemnify Kazida Global against any liabilities, claims, or damages arising from the use of the goods sold by Kazida Global, except in cases of proven negligence by Kazida Global or its employees.
- (c) These terms do not exclude or limit liability that cannot be legally restricted, in accordance with applicable law.
- The buyer is responsible for the safe custody and storage of the goods from the time they are delivered, even if ownership has not yet transferred to the buyer.
- Goods remain the sole property of Kazida Global until full payment has been made, including payment for any other outstanding orders. Kazida Global reserves the right to enter the buyer’s premises to recover unpaid goods. Until ownership transfers, the buyer holds the goods as a fiduciary for Kazida Global.
- In the event of any contract dispute, Kazida Global reserves the right to refer the matter to arbitration with a mutually agreed single arbitrator.
- Acceptance of goods delivery constitutes the buyer's acceptance of these terms and conditions.
- The invalidity or unenforceability of any part of these terms does not affect the remaining conditions.
- These conditions and the contract are governed by the laws of the People's Republic of China and applicable international law.
